When a company decides to buy another company, how does it go about buying ALL the shares from shareholders?

In a nutshell, the board decides, the shareholders approve (majority are institutions), a date is set for the transaction, and shareholders are issued HP shares for their PALM shares (not a 1:1 ratio).
